For more than 18 years, Brian has devoted his practice to the areas of corporate law and mergers and acquisitions. His practice is focused on representing public companies, closely-held businesses and private equity groups in connection with stock and asset acquisitions and divestitures, mergers, recapitalizations, joint ventures, capital formation transactions and other equity investments. In addition to his work in the area of mergers and acquisitions, Brian provides general corporate counsel to numerous companies in a variety of industries.

Dan develops valuation and financial models for a variety of purposes including the purchase or sale of a business, recapitalizing a business, structuring a buy-sell agreement, making gifts, issuing equity compensation, or testing the fairness of a proposed action. He assists business owners in transitioning their interests in a strategic manner, identifying legal issues and tax opportunities. Scott Manion, CPA, CMA, CFM | Accounting Advisory Partner at Boulay
Scott focuses on providing accounting, consulting and tax services to closely held companies. He also assists private equity groups and corporate acquirers during investment decisions and post-acquisition integrations by providing support on the structure and negotiation of letters of intent and purchase agreements, performing due diligence procedures, and determining post-closing net working capital adjustments.
